Terms and Conditions

Welcome to Sunodrop.com ("Sunodrop", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website and services related to the distribution of AI-generated music (the "Service"). By using Sunodrop, you agree to these Terms. If you do not agree, do not use our Service.

1. Eligibility

You must be at least 13 years old to use our Service. If you are under the age of majority in your jurisdiction, you must have the consent and supervision of a parent or legal guardian.

You affirm that you are legally able to enter into this agreement and comply with all applicable laws and regulations.

2. User Content and Ownership

You retain ownership of any AI-generated content ("User Content") you upload, provided you have the legal rights to use and distribute it.

By uploading content, you grant Sunodrop a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to distribute, promote, and monetize your music through digital platforms.

You warrant and represent that:

You own or have licensed all rights necessary to distribute the content.
Your content does not infringe any third-party rights, including copyright, trademark, or rights of publicity or privacy.
You will not upload content generated to impersonate or clone real individuals without written consent.
You have maintained human creative involvement in your AI-generated works, where required by law.

Sunodrop is not responsible for verifying the originality or legality of your content and disclaims all liability arising from it.

3. Prohibited Content

You agree not to upload, distribute, or promote content that:

Violates any copyright, trademark, patent, or other intellectual property rights.
Uses AI to impersonate or mimic real individuals without explicit consent.
Includes misleading, deceptive, defamatory, harassing, obscene, or illegal material.
Is generated entirely by autonomous AI without any human creative input, where not legally protectable.
Violates the terms of service of third-party platforms where Sunodrop delivers music.

We reserve the right to remove any content that violates these conditions without notice.

4. Distribution Services

Sunodrop offers digital distribution of your music to third-party platforms such as Spotify, Apple Music, YouTube Music, TikTok, and others.

We do not guarantee placement, promotion, playlisting, or streaming results. We reserve the right to:

Reject or remove content that violates our policies or laws.
Suspend or modify our distribution services at our discretion.
Respond to takedown notices, legal disputes, or DMCA requests.

5. Royalties and Payments

Sunodrop collects royalties from third-party platforms and distributes them to you based on usage of your music. Payment is subject to:

Accurate and verified payment details.
Applicable tax reporting requirements.
Transaction and service fees as specified in your dashboard or account agreement.

Payment Schedule: Sunodrop pays royalties on a monthly Net-60 basis, meaning payments are issued within 60 days after the end of each calendar month in which the revenue was received.

Payout Methods: Royalties can be sent to any valid bank account or PayPal account as specified in your user profile.

Revenue Split: Sunodrop retains a 25% commission on all royalties collected. The remaining 75% is paid to the account holder.

Registration Fee: There is no fee required to register or upload content on Sunodrop. You only share revenue when you earn.

We are not liable for payment delays caused by platform reporting delays, technical issues, or third-party failures.

6. Contract Term and Renewal

By registering an account with Sunodrop, you agree to a binding distribution contract with a term of two (2) years, beginning on the date of your registration.

This agreement will automatically renew for an additional two-year term unless either party provides written notice of termination at least ninety (90) days before the end of the current term.

Requests to close or terminate your account must be submitted via email to [email protected] with clear identification of the account and associated content.

7. Account Suspension or Termination

We may suspend, restrict, or terminate your account if:

You breach these Terms or applicable laws.
You submit fraudulent, infringing, or misleading content.
We receive valid takedown notices or repeated complaints.
Your account activity poses a risk to Sunodrop, our users, or partners.

We may withhold or forfeit royalties associated with unlawful or infringing content.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available." Sunodrop disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted access, accuracy of royalty reporting, or platform availability.

9. Limitation of Liability

To the maximum extent permitted by law, Sunodrop shall not be liable for:

Indirect, incidental, special, punitive, or consequential damages.
Loss of revenue, profits, data, or business opportunities.
Any damages arising from third-party platform actions or your use of infringing content.

Our total liability to you for all claims shall not exceed the greater of $100 USD or the amount you have paid us in the past 12 months.

10. Indemnity

You agree to indemnify, defend, and hold harmless Sunodrop, its officers, directors, affiliates, agents, and licensors from any claims, liabilities, damages, expenses, or legal fees arising out of:

Your use of the Service.
Your breach of these Terms.
Any claim that your content infringes or misuses third-party rights.

11. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Effective Date" above. Changes take effect when posted. Continued use of Sunodrop means you accept the updated Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Nevada, USA, excluding its conflict of law principles.

Any legal action shall be brought in the courts located in Las Vegas, Nevada, and you consent to the jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.
